1.Acceptance of these terms
These Terms of Service (the “Terms”) form a binding agreement between AEOESS, Inc., a Delaware corporation (“AEOESS”, “we”, “us”), and the person or entity accessing the Service (“you”, “Customer”). By creating an account, by clicking a button labelled “I agree”, “Sign up”, or similar, or by accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “Customer” refers to that organisation.
If you do not agree, do not access or use the Service.
2.The Service
The Service consists of: (a) the hosted Agent Passport System gateway operated by AEOESS at gateway.aeoess.com; (b) the AEOESS website at aeoess.com; (c) the AEOESS Model Context Protocol (“MCP”) server; (d) software development kits and command-line tools distributed by AEOESS; and (e) any associated documentation, dashboards, and customer-support channels. We may add to, remove from, or modify the Service from time to time.
The underlying Agent Passport System protocol specification and the reference SDK source code are made available separately under the Apache License 2.0; see section 7.
3.Accounts and authentication
To use the Service you must create an account. You agree to:
- provide accurate and current account information;
- keep your password and API keys confidential, and use reasonable measures (rotation, scoping, hardware security keys for sensitive workflows) to protect them;
- be responsible for all activity that occurs under your account, whether or not authorised by you, until you notify us of compromise;
- be at least 18 years old, or the age of contractual majority in your jurisdiction, and not be a prohibited person under section 15; and
- ensure each individual using your account does so only as a representative of you and is bound by these Terms.
If you suspect any unauthorised use of your account, you must rotate the affected credentials immediately and notify us at [email protected].
4.Plans, payment, and renewal
4.1 Plan tiers
The Service is offered in plan tiers (currently Open Source, Production, and Enterprise) with the limits and features described at aeoess.com/pricing. AEOESS may add, modify, or retire tiers, subject to your right to terminate as set out in section 11.
4.2 Fees and billing
Production subscriptions are billed monthly or annually in advance, in US dollars, via our payment processor Stripe. By providing a payment method, you authorise AEOESS to charge applicable fees, taxes, and any metered overage. Fees are non-refundable except as expressly stated in these Terms or required by law.
4.3 Renewal
Subscriptions auto-renew for successive periods of the same length unless you cancel before the renewal date. Cancellation takes effect at the end of the then-current billing period; no prorated refund is issued for partial periods.
4.4 Price changes
We may change list prices for new subscriptions at any time. Price changes affecting an existing subscription will be communicated at least 30 days in advance and will take effect at the next renewal.
4.5 Taxes
Fees are exclusive of taxes. You are responsible for sales, use, value-added, and similar taxes other than taxes based on AEOESS’s net income. Where required, we collect and remit such taxes through Stripe Tax.
4.6 Plan limits and overage
Each plan tier has limits on active agents, monthly policy evaluations, and retention duration as described at the time of purchase. The Service may enforce these limits in real time (e.g. by returning an error to a request that would exceed a hard cap) and/or report overage on your invoice. You agree that AEOESS is entitled to apply these limits without prior individual notice beyond the published plan terms.
5.Acceptable use
You may use the Service only for lawful purposes. You must not:
- use the Service to develop, train, or operate agents intended to harm individuals, infrastructure, or markets;
- use the Service to facilitate fraud, money laundering, sanctions evasion, or any other illegal activity;
- attempt to reverse engineer, decompile, or extract proprietary components of the hosted Service, except where this restriction is prohibited by applicable law or by the open-source license under which a given component is published;
- circumvent or attempt to circumvent any rate limit, plan cap, authentication, or billing mechanism;
- upload malware, conduct denial-of-service activity, or run automated traffic intended to overload the Service;
- misrepresent agent identity, forge governance receipts, or impersonate another tenant;
- scrape personal data of other users, infer membership of other tenants, or otherwise violate the privacy of others on the Service;
- use the Service in any way that violates the rights of any third party, including intellectual property, privacy, or contract rights; or
- resell, sublicense, or operate the hosted Service as a service to third parties without our written authorisation.
AEOESS may suspend or terminate accounts that engage in prohibited use, and may report violations to law-enforcement or regulators where appropriate. Where suspension is preventative (e.g. credible compromise), we will make reasonable efforts to notify you and to restore access once the issue is resolved.
6.Customer data and license to us
“Customer Data” means the agent identifiers, delegations, policy inputs, evaluation results, receipts, and other content you submit to the Service. As between you and AEOESS, Customer Data is and remains yours.
You grant AEOESS a worldwide, non-exclusive, royalty-free license to host, transmit, process, sign, store, back up, and display Customer Data solely as necessary to provide the Service to you and to comply with law. We will not use Customer Data to train machine-learning models, to enrich third-party datasets, or for any purpose unrelated to providing the Service.
You represent and warrant that you have all rights necessary to grant this license and that Customer Data does not infringe the rights of any third party.
7.Our intellectual property and the open-source protocol
The Agent Passport System protocol specification, the reference SDKs in TypeScript and Python, and the MCP server reference implementation are published by AEOESS under the Apache License, Version 2.0. Use of those components is governed by that license; nothing in these Terms grants you fewer rights than the Apache License grants you to those open-source components.
Other components of the Service — including the hosted gateway backend, the dashboard, the MCP coordination layer where applicable, branding, and the AEOESS name and logos — are proprietary to AEOESS and licensed to you under section 7.2.
7.2 License grant to you (hosted Service)
Subject to your compliance with these Terms and payment of applicable fees, AEOESS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the hosted Service for your internal business purposes during the subscription term.
7.3 Restrictions
You will not: (a) copy or modify the hosted Service except as permitted by section 7.1 for the open-source components; (b) sublicense or resell the hosted Service; (c) use the hosted Service to build a competing offering of equivalent function; or (d) remove proprietary notices from any portion of the Service.
8.Feedback
If you provide AEOESS feedback or suggestions about the Service, you grant AEOESS a perpetual, irrevocable, royalty-free, worldwide license to use that feedback to improve the Service. We are not obligated to treat feedback as confidential.
9.Third-party services
The Service integrates with third-party services (Stripe for billing, Resend for email delivery, GitHub for authentication, Railway for hosting, Cloudflare for DNS and routing, and others) under those parties’ own terms. AEOESS is not responsible for outages, errors, data practices, or terms of those third-party services. If a third-party service stops functioning or changes its terms in a way that materially affects the Service, we will use reasonable efforts to find an equivalent.
10.Availability, support, and modifications
AEOESS uses commercially reasonable efforts to keep the hosted Service available, but availability is not guaranteed except where a separate written service-level agreement (SLA) has been signed with you. We may perform planned maintenance; where reasonably practicable, we will give advance notice via the website, the dashboard, or email.
AEOESS may modify the Service, including adding or removing features, so long as the core enforcement and receipt functions promised by your plan continue to operate. Material adverse changes affecting paid plans will be announced at least 30 days in advance, and you may terminate in response under section 11.
Production-tier customers receive support during business hours via email at [email protected]. Enterprise customers receive the support model agreed in their order form.
11.Termination
Either party may terminate the subscription at any time. Your termination takes effect at the end of the current billing period. Termination by AEOESS for convenience also takes effect at the end of the current billing period and we will refund any prepaid fees for periods after termination.
AEOESS may suspend or terminate immediately, with notice where reasonably practicable, if you (a) materially breach these Terms and do not cure the breach within 10 days of notice; (b) misuse the Service in a way that creates risk for AEOESS, other customers, or third parties; (c) fail to pay fees when due and do not cure within 10 days of notice; or (d) are subject to bankruptcy or insolvency.
On termination, your right to access the Service ends. We will, on request and where technically feasible, allow you to export Customer Data within 30 days of termination. After that we may delete Customer Data, subject to legal retention obligations and backup-rotation schedules described in the Privacy Policy.
12.Warranties and disclaimers
AEOESS warrants that it will provide the Service using commercially reasonable skill and care.
Except as expressly stated in these Terms or in a separate written agreement, the Service is provided “as is” and “as available”. AEOESS disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. AEOESS does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
13.Limitation of liability
To the maximum extent permitted by law, in no event will AEOESS or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
AEOESS’s aggregate liability arising out of or related to these Terms and the Service will not exceed the greater of (a) the fees paid by you to AEOESS for the Service in the 12 months immediately preceding the event giving rise to the claim, and (b) one hundred US dollars (USD $100).
The limitations in this section apply regardless of the form of action (contract, tort, statute, or otherwise) and survive termination. They do not apply where prohibited by law (for example, for gross negligence, fraud, or wilful misconduct, or for liability that cannot be excluded under consumer-protection law).
14.Indemnification
You will defend, indemnify, and hold harmless AEOESS and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) your use of the Service in a manner not authorised by these Terms.
AEOESS will defend, indemnify, and hold harmless Customer from third-party claims that the Service, as provided by AEOESS and used in accordance with these Terms, infringes a third party’s intellectual property rights, subject to (a) prompt written notice; (b) sole control of the defence by AEOESS; and (c) reasonable cooperation by Customer. AEOESS may at its option modify the Service to make it non-infringing, procure rights for continued use, or terminate the affected portion of the Service and refund any prepaid fees.
15.Export, sanctions, and government use
The Service is subject to US export-control and sanctions laws. You represent that you are not located in, or a national of, any country subject to comprehensive US embargo, and that you are not on any US Government denied-persons or specially designated nationals list. You will not export, re-export, or use the Service in violation of applicable law.
If the Service is acquired by or on behalf of the US Government, it is provided as “commercial computer software” under FAR 12.212 and DFARS 227.7202; use, duplication, and disclosure are subject to these Terms.
16.Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
The parties will first attempt to resolve any dispute informally by contacting [email protected]. If a dispute cannot be resolved informally within 30 days, the parties submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waive any objection to venue in those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Where binding arbitration becomes a final business decision after legal review, this section will be replaced with a JAMS or AAA arbitration clause with class-action waiver. Until then, the courts in Delaware are the agreed forum.
17.General
- Entire agreement. These Terms, the Privacy Policy, any order form or DPA, and any rate-card or limits page incorporated by reference are the entire agreement between you and AEOESS regarding the Service and supersede any prior agreement on the same subject.
- Order of precedence. If an order form conflicts with these Terms, the order form controls for the conflict. If a Data Processing Addendum is signed, it controls for the conflict on data-protection topics.
- Modifications. AEOESS may modify these Terms by posting an updated version and updating the “Effective date”. Material changes affecting paid plans will be announced at least 30 days in advance to the account-holder email on file. Continued use after the effective date constitutes acceptance.
- Assignment. You may not assign these Terms without AEOESS’s prior written consent, except to a successor by merger or acquisition that assumes the obligations. AEOESS may assign these Terms.
- Severability. If a provision is held unenforceable, the remainder will continue in full force.
- No waiver. Failure to enforce a right is not a waiver of it.
- Force majeure. Neither party is liable for failure to perform due to events outside its reasonable control.
- Notices. Notices to AEOESS must be sent to [email protected]. Notices to you are deemed delivered when sent to the email address on file for your account.
- No third-party beneficiaries. There are no third-party beneficiaries.
- Survival. Sections 6 (Customer data), 7 (IP), 8 (Feedback), 12 (Warranty disclaimer), 13 (Liability), 14 (Indemnification), 16 (Governing law), and 17 (General) survive termination.
